We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform. Your continued use after such changes constitutes acceptance of the modified Terms.
2. Eligibility and Account Registration

- All activities that occur under your account
- Notifying us immediately of any unauthorized access

3. Platform Services
NursePal is a healthcare staffing technology platform that connects travel nurses, allied health professionals, and other healthcare candidates with staffing agencies and healthcare facilities. We provide market intelligence tools, job listings, rate calculators, and related services.
NursePal is not a staffing agency, employer, or healthcare provider. We act as a technology intermediary and are not a party to any employment agreements, contracts, or staffing arrangements between users. All employment decisions, contract terms, and compensation are determined solely between the candidate and the hiring agency or facility.
We reserve the right to modify, suspend, or discontinue any aspect of our platform at any time without prior notice. We may also impose limits on certain features or restrict access to parts of the platform.
4. User Conduct
You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Provide false, misleading, or fraudulent information
- Impersonate any person or entity
- Interfere with or disrupt the platform or servers connected to the platform
- Attempt to gain unauthorized access to any part of the platform
- Use the platform for any illegal or unauthorized purpose
- Harvest or collect user information without consent
- Transmit viruses, malware, or other harmful code
5. Payments and Fees
Certain features of our platform may require payment of fees. All fees are quoted in U.S. dollars unless otherwise specified. You agree to pay all applicable fees and authorize us to charge your designated payment method.
Fees are non-refundable except as expressly set forth in these Terms or as required by law. We reserve the right to change our fees upon reasonable notice.
6. Intellectual Property
All content, features, and functionality of our platform, including but not limited to text, graphics, logos, and software, are owned by us or our licensors and are protected by intellectual property laws.
You retain ownership of content you submit to the platform. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content as necessary to operate the platform.
7. Disclaimer of Warranties
THE PLATFORM, INCLUDING ALL RATE DATA, PAY ESTIMATES, BILL RATES, WEEKLY PAY FIGURES, MARKET INTELLIGENCE, CALCULATORS, FORECASTS, AND ANALYTICAL TOOLS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any data, rates, or estimates displayed on the platform.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
Our total liability for any claims arising from or related to these Terms or your use of the platform shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless our company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the platform, violation of these Terms, or infringement of any third-party rights.
10. Termination
We may suspend or terminate your account and access to the platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform will immediately cease.
You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination shall remain in effect.
11. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
12. Estimates, Market Data & Intelligence Disclaimer
ALL BILL RATES, WEEKLY PAY FIGURES, HOURLY RATES, STIPEND AMOUNTS, PAY PACKAGES, AND ANY OTHER COMPENSATION DATA DISPLAYED ON NURSEPAL ARE ESTIMATES ONLY.
These estimates are derived from aggregated market data, user-reported information, and third-party sources. They may not reflect actual rates offered by any specific agency, facility, or employer. All compensation figures should always be independently verified with the hiring agency or facility before making any decisions.
NursePal does not guarantee the accuracy, completeness, timeliness, or reliability of any rates, pay data, projections, forecasts, or market intelligence displayed on the platform. All data is provided "AS IS" for informational purposes only.
NursePal shall not be held responsible or liable for any errors, omissions, or inaccuracies in the data displayed, or for any decisions made or actions taken based on information provided on this platform. Users assume full responsibility for verifying all information independently.

13. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and us regarding the platform.
- Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
- Assignment: You may not assign these Terms without our prior written consent.
